Affiliate Program Terms and Conditions

1.1 Application Process: To enroll in the Program, you must submit a complete application through our website. Asrify reserves the right to accept or reject any application at our sole discretion.

1.2 Eligibility: You must be at least 18 years old and have the legal authority to enter into this Agreement. You must have a valid website, blog, or social media presence with original content.

1.3 Approval Criteria: We evaluate applications based on content quality, audience relevance, traffic metrics, and alignment with Asrify's brand values. Approval is not guaranteed.

1.4 Account Information: You must provide accurate, complete, and current information in your application and maintain accurate account information throughout your participation in the Program.

2.1 Commission Rate: Affiliates can earn up to 40% recurring commission on all referred customer payments. The commission is earned as long as you remain an active member of the affiliate program and the referred customer maintains their subscription. Early waitlist members receive higher initial commission rates.

2.2 Qualifying Sales: Commissions are earned only on completed purchases made by new customers who sign up through your unique affiliate link and maintain an active subscription.

2.3 Cookie Duration: Referral tracking cookies remain active for 60 days from the initial click. If a customer makes a purchase within this period, you will receive credit for the sale.

2.4 Payment Schedule: Commissions are paid monthly via PayPal, Wise, or bank transfer, with a minimum payout threshold of €50. Payments are processed within 30 days after the end of each month. Affiliates who reach payment thresholds will be onboarded as collaborators with Puzzles IT OÜ to facilitate payments.

2.5 Refunds and Chargebacks: Commissions will be reversed for any refunded purchases, chargebacks, or fraudulent transactions. Your account balance will be adjusted accordingly.

2.6 Self-Referrals: Self-referrals are not permitted. You cannot earn commissions on your own purchases or purchases made by accounts you control.

2.7 Performance Requirements: To maintain active status in the affiliate program, affiliates must meet minimum performance requirements after specified periods. These requirements will be detailed in your final affiliate agreement and may include metrics such as conversion rates, active referrals, or revenue targets.

3.1 Promotional Methods: You may promote Asrify through your website, blog, social media, email newsletters, and other approved channels. All promotional content must be professional and accurate.

3.2 FTC Disclosure: You must clearly disclose your affiliate relationship with Asrify in accordance with FTC guidelines. Include statements like "This post contains affiliate links" or "I may earn a commission from purchases made through these links."

3.3 Content Standards: Your promotional content must be original, truthful, and based on your genuine opinion or experience. Do not make false or misleading claims about Asrify's features or benefits.

3.4 Brand Guidelines: Use only approved Asrify logos, images, and marketing materials. Do not modify our brand assets or create derivative works without permission.

3.5 Link Usage: Use only the official affiliate links provided through your dashboard. Do not cloak, redirect, or modify affiliate links in any way that obscures their destination.

3.6 Customer Support: Direct all customer inquiries about Asrify products or services to our official support channels. Do not provide technical support on our behalf.

You may NOT engage in the following activities:

• Spam: Send unsolicited emails, messages, or comments containing affiliate links
• Paid Advertising: Use paid search ads (Google Ads, Bing Ads) bidding on "Asrify" or related trademark terms without prior written permission
• Cookie Stuffing: Use any method to force or trick users into clicking affiliate links
• Incentivized Traffic: Offer cashback, rewards, or incentives for clicking affiliate links or making purchases
• Misleading Content: Create fake reviews, testimonials, or comparison sites with false information
• Trademark Infringement: Register domains containing "Asrify" or create confusion about your relationship with us
• Inappropriate Content: Promote Asrify on sites containing illegal, offensive, or adult content
• Coupon/Deal Sites: Distribute unauthorized coupons or promote fake discounts

5.1 License Grant: We grant you a limited, non-exclusive, revocable license to use Asrify's trademarks and approved marketing materials solely for promoting Asrify through the Program.

5.2 Ownership: All Asrify intellectual property remains our exclusive property. You do not acquire any ownership rights through participation in the Program.

5.3 Restrictions: You may not modify, create derivative works, or use our intellectual property in any way not explicitly authorized in this Agreement.

5.4 Your Content: You retain ownership of your original content but grant us a license to use, reproduce, and display your content for Program-related purposes.

6.1 Term: This Agreement begins upon approval of your application and continues until terminated by either party.

6.2 Termination by You: You may terminate your participation at any time by providing written notice through your affiliate dashboard or via email.

6.3 Termination by Asrify: We may terminate this Agreement immediately if you violate any terms, engage in fraudulent activity, or for any other reason at our discretion with 30 days notice.

6.4 Effect of Termination: Upon termination, you must immediately cease all promotional activities and remove all Asrify content and links. Earned commissions will be paid according to the standard payment schedule.

6.5 Survival: Sections relating to intellectual property, confidentiality, indemnification, and limitation of liability survive termination.

7.1 Confidential Information: You may receive confidential information about our business, products, or marketing strategies. You agree to keep such information confidential and not disclose it to third parties.

7.2 Commission Data: Your commission rates, earnings, and performance data are confidential and should not be publicly disclosed without our written consent.

8.1 Indemnification: You agree to indemnify and hold Asrify harmless from any claims, damages, or expenses arising from your participation in the Program or violation of this Agreement.

8.2 Limitation of Liability: Asrify's total liability under this Agreement shall not exceed the total commissions paid to you in the twelve months preceding the claim.

8.3 No Warranties: The Program is provided "as is" without warranties of any kind. We do not guarantee any specific results or earnings from participation.

9.1 Right to Modify: Asrify reserves the right to modify these terms at any time. We will notify you of material changes via email or through your affiliate dashboard.

9.2 Continued Participation: Your continued participation in the Program after modifications constitutes acceptance of the updated terms.

9.3 Program Changes: We may modify commission rates, payment terms, or Program features with 30 days advance notice.

10.1 Independent Contractor: You are an independent contractor, not an employee, agent, or partner of Asrify. You have no authority to bind Asrify to any obligation.

10.2 Governing Law: This Agreement is governed by the laws of Estonia without regard to conflict of law principles.

10.3 Dispute Resolution: Any disputes shall be resolved through binding arbitration in accordance with the Estonian Chamber of Commerce and Industry arbitration rules.

10.4 Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior agreements.

10.5 Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.6 Waiver: No waiver of any provision shall be effective unless in writing and signed by the waiving party.

10.7 Assignment: You may not assign or transfer your rights under this Agreement without our prior written consent.
